Company Secretary and Governance Manager

This position is located at the Catholic Schools Office, Lismore

Full time temporary position, start date to be negotiated


Purpose of the position: 

In the context of actively supporting the Mission of Catholic Education in the Diocese of Lismore, the primary purpose of the position is to support the Board, and to ensure compliance with corporate governance frameworks e.g. legal, corporate and statutory requirements. This includes the provision of advice and assistance to the Director and Board in line with requirements of the overall governance framework. This will be an evolving position that may become responsible for leading and managing a small team. 

An applicant must:

  • have a working knowledge of WH&S and equity in employment and a demonstrated capacity to apply related principles and policies.
  • have a knowledge of and commitment to the Catholic ethos and mission of the Catholic Schools Office. 

Selection Criteria:

  • University qualifications in law, governance, risk management, business or similar.
  • Graduate Member of the Australian Institute of Company Directors or willingness to undertake the Company Directors course. 
  • At least 10 years' business experience, preferably as a committee and/or board secretary.
  • General understanding of the Corporations Act and ACNC requirements involving corporate governance arrangements.
  • Experience in a governance related role.
  • Understanding of effective risk management, corporate compliance and supervising the provision of policy services.
  • Ability to present information in a clear and concise manner to a Board and Board sub-committees.
  • Experience managing and leading staff.

Job Related Requirements:

  • Current National Criminal History Record Clearance.
  • Current NSW Drivers License.
  • Working with Children Check Clearance.
